Recently, Tian Yuan successfully completed comprehensive legal services for the equity adjustment of AKM Meadville Electronics (Xiamen) Co., Ltd. (hereinafter referred to as "AKM Meadville"). This project involved multiple core aspects, including ODI mergers and acquisitions, public listing and transfer, and capital increase, involving more than ten entities including central enterprises, local state-owned enterprises, patient capital, industrial investors, and AIC institutions. The cumulative transaction amount exceeded 6.7 billion yuan, ultimately completing a capital operation with a valuation of tens of billions of yuan. This is a complex and landmark capital operation project of a state-owned enterprise.

Tian Yuan deeply participated in the entire transaction process, providing professional solutions to multiple complex challenges. The project's transaction structure spanned three levels of operation, with interconnected links and complex legal relationships. During the service process, the Tian Yuan team comprehensively covered the communication needs of diverse cooperating entities. On the one hand, they conducted in-depth consultations with local governments, successfully completing the negotiation and signing of cooperation agreements; on the other hand, they liaised with multiple large investment institutions and AIC investors, including patient capital, large funds, and industrial investors, coordinating the demands of all parties and resolving contractual differences. At the same time, the project involved multi-level approval processes of local and central state-owned assets. Leveraging its rich experience in state-owned asset projects, Tian Yuan anticipated key approval points in advance, ensuring that all procedures proceeded compliantly and efficiently.

In 2020, Tian Yuan assisted AKM Meadville in successfully acquiring the mobile business unit of TTM (NASDAQ: TTMI), a leading global PCB giant. The transaction amount was approximately 4 billion RMB. In 2022, Tian Yuan, as the domestic lawyer for co-offerors Anli Industrial Co., Ltd. and AKM Meadville, provided comprehensive legal services for the privatization of Anli Industrial with approximately HK$1.8 billion in cash. Tian Yuan has consistently provided professional and efficient legal services to support companies at critical stages of development. The working team, composed of Tian Yuan partners Wu Guanxiong and Liu Boyuan, and lawyers Wang Junyi and Zhao Sijia, provided legal services for this project.
